Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Arrowhead IT Consulting LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including managed IT services, cybersecurity solutions, cloud migration, and IT consulting.

2. Description of Services

Arrowhead IT Consulting provides the following services to businesses:

  • Managed IT Services and Support
  • Cybersecurity Assessment and Implementation
  • Cloud Migration and Management
  • IT Infrastructure Planning and Consulting
  • Network Design and Optimization
  • Disaster Recovery and Business Continuity Planning

The specific scope of services will be outlined in individual service agreements or statements of work.

3. Service Agreements

All IT services are provided under separate Service Level Agreements (SLAs) or Statements of Work (SOWs) that outline:

  • Scope of services to be provided
  • Service levels and response times
  • Pricing and payment terms
  • Duration and termination conditions
  • Specific deliverables and milestones

In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail.

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant reasonable access to systems, networks, and facilities as required
  • Maintain appropriate backups of your data unless specifically included in our services
  • Notify us promptly of any issues, incidents, or changes that may affect our services
  • Comply with all applicable laws and regulations regarding your IT systems and data
  • Pay for services according to agreed-upon terms

5. Payment Terms

Unless otherwise specified in a service agreement:

  • Invoices are due within 30 days of the invoice date
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for accounts more than 60 days past due
  • All prices are in USD unless otherwise specified

6. Confidentiality

We understand the sensitive nature of IT systems and business data. We agree to:

  • Keep all client information, data, and system details confidential
  • Only use client information for the purpose of providing services
  • Not disclose confidential information to third parties without written consent
  • Implement appropriate security measures to protect client data

These confidentiality obligations survive the termination of our service relationship.

7. Intellectual Property

Unless otherwise agreed in writing:

  • Client retains ownership of all pre-existing intellectual property
  • Work product created specifically for the client becomes client property upon full payment
  • We retain ownership of our tools, methodologies, and general knowledge
  • Third-party software and tools remain the property of their respective owners

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for data loss where client failed to maintain adequate backups
  • We are not liable for issues caused by client actions, third parties, or force majeure events

9. Indemnification

You agree to indemnify and hold harmless Arrowhead IT Consulting LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate services:

  • With 30 days written notice for monthly services
  • According to the terms of specific service agreements
  • Immediately for material breach that remains uncured for 15 days after notice

Upon termination, client remains responsible for payment of all services rendered through the termination date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Duval County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
